These Terms of Use ("Terms") govern your use of the OreCloud website, console, APIs, SDKs, CLI, hosted MCP endpoints, and any related content or services we make available online (collectively, the "Services"). By using the Services or creating an account, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind it, and "you" refers to that organization.
1. Eligibility and use of the Services
You may use the Services only in compliance with applicable law and these Terms. By using the Services or creating an account, you represent that you are at least 13 years old and, if you are under the age of majority where you live, that you have permission from a parent or legal guardian.
You may not misuse the Services, interfere with their operation, attempt unauthorized access, bypass rate limits or security measures, scrape or harvest data, or use the Services to store or transmit unlawful, harmful, deceptive, infringing, abusive, or malicious material.
2. Accounts, invites, and keys
Signup is currently invite-gated; an invite reserves access but does not guarantee launch dates, pricing, feature availability, or continued availability of any offering. You are responsible for providing accurate information, keeping passwords, API keys, and tokens private, and for activity that occurs through your account, organization, keys, or connected agent tools. Notify us promptly of any unauthorized use.
3. Plans and changes to the Services
Free and paid plans carry the limits shown on the pricing page, in the console, at checkout, or negotiated in writing; current limits and recent usage are visible through the Services. The Services are under active development: we may change, add, or remove features, and may change plan limits or pricing with reasonable advance notice for paid plans.
4. Customer Content
"Customer Content" is the data your application stores in the Services on behalf of its end users: documents, memories, metadata, vectors, and provenance identifiers. You retain all rights you have in Customer Content. You grant Egoist Machines, Inc. a worldwide, non-exclusive, royalty-free license to host, store, copy, process, embed, index, back up, transmit, and display Customer Content solely to operate, provide, secure, and improve the Services. We do not use Customer Content to train machine-learning models.
You represent that you have the rights and lawful basis needed to store Customer Content in the Services, including any notices to or consents from your end users that applicable law requires, and that Customer Content does not violate law or infringe anyone's rights. You are responsible for what your applications and agents store.
5. Fees and billing
Paid plans are billed through our payment processor on the schedule shown at checkout. Fees are exclusive of taxes, which you are responsible for where applicable. If a payment fails and is not cured after our payment processor's retries and notices, we may downgrade the organization to the free plan; your data keeps serving under the free plan's limits. Except where required by law, fees are non-refundable.
6. MCP endpoints and third-party clients
The Services expose MCP endpoints and other interfaces that allow third-party clients, agents, or applications to read or write a store using API keys you mint or OAuth connections you approve. Only connect tools you trust, and scope each credential to what the tool needs. We are not responsible for third-party clients, agents, applications, or services, or for actions they take using credentials you provide to them.
7. Portability, deletion, and suspension
You can export Customer Content at any time; an unencrypted store is the open-source LodeDB on-disk format and can be pulled and opened locally (encrypted stores cannot currently be downloaded directly). Deleted stores and organizations stay restorable for a grace period (7 days); purging then completes asynchronously, and the erase option removes the restore window immediately. Deleting an organization cancels any active subscription, and restoring it restores data, not the subscription. We may suspend or terminate access for material violation of these Terms, abuse, security risk, or non-payment; where practicable we will give notice and a chance to export your data first.
8. Intellectual property
The Services and their contents, including text, graphics, branding, logos, software, and design, are owned by Egoist Machines, Inc. or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Services as permitted by these Terms, no rights are granted to you. The LodeDB engine is separately available under its own open-source license.
9. Feedback
If you send us ideas, suggestions, feedback, or comments, you grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free right to use, reproduce, modify, adapt, publish, and incorporate that feedback without restriction or compensation.
10. Third-party links and services
The site may contain links to third-party websites or services. We are not responsible for third-party content, products, services, or privacy practices.
11. Disclaimers
The Services and all content are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation.
12. Limitation of liability
To the fullest extent permitted by law, Egoist Machines, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the Services. To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Services or these Terms will not exceed the greater of the amounts you paid us for the Services in the twelve months before the claim arose or one hundred U.S. dollars (US $100).
13. Indemnity
You agree to defend, indemnify, and hold harmless Egoist Machines, Inc. and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses arising from your Customer Content, misuse of the Services, violation of these Terms, or violation of law or third-party rights.
14. Changes to the Services or Terms
We may change the Services and these Terms at any time. If we update these Terms, we will post the revised version and update the effective date. Your continued use of the Services after changes become effective means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
